Tata Sons’ attempt to exit the RBI’s Core Investment Company framework has been rejected, keeping the holding company under Upper Layer NBFC regulations. The decision has brought the possibility of a future listing back into focus.
The Reserve Bank of India’s decision to reject Tata Sons’ request to surrender its Core Investment Company (CIC) registration has brought the question of a possible listing back into focus.
Tata Sons had sought deregistration as part of its efforts to move out of the regulatory framework applicable to certain non-banking financial companies. However, the RBI has retained the company’s classification as an Upper Layer NBFC, meaning Tata Sons will continue to remain subject to enhanced regulatory requirements.
The development does not mean that Tata Sons has announced an IPO. The company has not disclosed any IPO timeline, price band or issue structure. However, the RBI decision removes the route through which Tata Sons was attempting to avoid the listing requirement.
Tata Sons is the holding company of the Tata Group and owns stakes across several major businesses, including Tata Consultancy Services, Tata Motors, Tata Steel and other group companies.
In 2022, the RBI categorised Tata Sons as an Upper Layer NBFC under its Scale-Based Regulation. Companies classified in this group come under higher scrutiny from the regulatory authority with regard to their governance and risk management processes.
Under the framework, certain large upper-layer NBFCs must list their shares. Tata Sons had sought to surrender its registration as a Core Investment Company, which would have allowed it to operate outside this framework.
The company had filed its application in March 2024. Reports indicate that Tata Sons had also repaid debt as part of its efforts to exit the NBFC classification.
With the rejection of the application for deregistration, Tata Sons continues to operate under the ambit of regulations where adherence to Upper Layer NBFC criteria is required.
As per a Reuters report, RBI has additionally filed a caveat in the Bombay High Court, an action which permits the regulatory authority to put forward its standpoint prior to any order being issued.
This step signifies that the regulator is ready for any legal battle regarding the listing criteria.
A potential listing of Tata Sons would be different from a typical IPO by an operating company.
Tata Sons functions as the principal holding company of the Tata Group. Its value largely depends on its investments in various Tata businesses rather than on revenue from manufacturing or services operations.
A public listing would bring greater disclosure requirements, including regular financial reporting, shareholder communication and increased visibility into the value of its investments.
For investors tracking Tata Group companies, the development could provide more clarity on the holding company structure and the relationship between Tata Sons and its listed subsidiaries.
The first thing to watch is how Tata Sons will react to the RBI decision and what further steps it might take.
Though the RBI decision has once again raised the question about Tata Sons' IPO, the procedure is not clear at all. The future issue, if there is any, will have to undergo various processes and get regulatory approvals.
What has happened till now is that Tata Sons will continue operating within the RBI's Upper Layer NBFC structure, as its request for de-registration has been rejected.
