NSE IPO: Know the IPO Structure and Key Facts

National Stock Exchange of India Limited (NSE) is getting ready to undergo an IPO by way of Offer for Sale of up to 148,905,525 equity shares of ₹1 face value each. According to the Draft Red Herring Prospectus dated June 17, 2026, NSE holds a strong position in India’s capital markets, with its large investor base and its significant scale in equity derivatives.

    NSE Maintains Market Leadership

NSE has been the largest stock exchange in India by total turnover in the cash market and equity derivatives from Fiscal 2001 to Fiscal 2026, according to the DRHP. It has also held the top position in exchange-traded currency derivatives since Fiscal 2009.

In Fiscal 2026, NSE accounted for 92.99% of India’s cash-market turnover, with turnover of ₹260.63 trillion against an industry turnover of ₹280.26 trillion. In equity futures, its market share stood at 99.79%, while it held 74.71% of equity options premium turnover. NSE also reported a 99.48% share in exchange-traded currency futures and 100% in exchange-traded currency options.

The exchange’s scale also extends globally. In Fiscal 2026, NSE recorded 36.99 billion equity derivatives contracts and held a 51.18% global market share in contracts traded, according to the Redseer Report cited in the DRHP. It also accounted for 11.38% of global cash-equity trades, with 7.95 billion trades during the fiscal year.

    Investor Base Crosses 129 Million

NSE’s market reach is supported by an expanding investor base. As of March 31, 2026, the exchange had 129.09 million unique registered investors, covering more than 99% of India’s postal codes.

The DRHP states that the unique registered investor base increased from 30.87 million in March 2020 to 129.09 million in March 2026, representing a CAGR of 26.93%. NSE also had 253.66 million registered investor accounts as of March 31, 2026.
This expanding investor base is one of the factors supporting trading activity on the exchange. The DRHP identifies retail participation, institutional participation, passive investment products and new listings among the factors influencing trading volumes.

How Is the NSE IPO Structured?

The proposed IPO is an Offer for Sale (OFS). NSE itself will not receive the proceeds from the offer. Up to 148,905,525 equity shares are proposed to be offered by the selling shareholders. The offer also includes an employee reservation portion, which can constitute up to 5% of the post-offer paid-up equity share capital.

The offer will follow the book-building process. Under the DRHP, not more than 50% of the Net Offer can be allocated to Qualified Institutional Buyers (QIBs). Up to 60% of the QIB Portion may be allocated to Anchor Investors, subject to the applicable regulations.

At least 15% of the Net Offer will be available to Non-Institutional Bidders, while at least 35% will be available to Retail Individual Bidders, subject to valid bids at or above the Offer Price. The Non-Institutional portion is further divided based on application size.

The price band and final Offer Price had not been specified in the DRHP. The document states that the Offer Price will be decided by NSE in consultation with the Book Running Lead Managers through the book-building process.

NSE’s proposed IPO therefore brings together three key aspects: a dominant position across major market segments, an expanding investor base and a broad distribution structure covering institutional, non-institutional, retail and eligible employee investors.
