NSE has proposed a ₹35 per share dividend for FY2026, including a ₹10 special dividend. The exchange has also paid dividends in each of the previous five fiscal years. However, its DRHP states that past dividends do not guarantee future payouts.
NSE is coming up with its IPO, giving investors an opportunity to own a stake in the exchange. Apart from looking at the potential listing gains and future performance of the stock, investors may also look at NSE’s dividend history.
So, what has NSE paid as dividends in the past? Does the company have a dividend policy? And can investors expect regular dividends after the IPO?
Let’s look at what the DRHP says.
The Governing Board of NSE recommended a final dividend of ₹35 per equity share for the year ended March 31, 2026. The proposal is subject to shareholder approval at the Annual General Meeting.
The ₹35 dividend also includes a special one-time dividend of ₹10 per share.
NSE also paid a dividend for Fiscal 2025, 2024, 2023, 2022 and 2021.
Fiscal Year | Dividend Per Share Declared |
FY2021 | ₹24.75 |
FY2022 | ₹42 |
FY2023 | ₹80 |
FY2024 | ₹90 |
FY2025 | ₹35 |
This gives investors a clear view of NSE’s recent dividend payments. However, the past record does not mean the same dividend will continue after the IPO.
Under the dividend policy, the Governing Board recommends the dividend. The shareholders accept it. The Governing Board can also make an interim dividend declaration under the applicable rules.
The amount of the dividend would depend on many different considerations. Earnings, financial performance, available cash flow, retained earnings and other business needs of the company would determine the dividend.
The exchange may also have to retain some cash to meet any future requirements for expansion and other purposes. Environmental changes may also influence the dividend policy.
This is a crucial point for investors looking at NSE’s IPO.
The DRHP clearly states that past dividends do not indicate what NSE may pay in the future. No assurance is provided by the company for declaration or payment of any dividends in the future.
Thus, even though the past few years have seen the payment of dividends by NSE, investors should not expect this trend to continue. The final decision will depend on the company’s earnings, cash position, business plans and other factors.
