Three promoters offer the OFS: Sandeep Kumar and Sunil Jallan each offer shares worth up to ₹20 crore, and Krishan Kumar Jalan offers shares worth up to ₹10 crore; none of this reaches the company. Net proceeds from the Fresh Issue are proposed for repaying borrowings (up to ₹250 crore) and general corporate purposes.
The company was originally incorporated as A-One Steel and Alloys Private Limited on 9 April 2012 in Bengaluru, Karnataka. It was renamed A-One Steels India Private Limited in June 2024, and converted to a public limited company under its present name in December 2024.
Promoters Sandeep Kumar, Sunil Jallan and Krishan Kumar Jalan together held 85.86% of the pre-issue equity share capital. As at 30 November 2024, headcount stood at 2,459 employees, including 1,377 permanent and 1,082 contractual staff.
Manufacturing spans sponge iron, MS billets, TMT bars, HR coils and CR coils, alongside industrial products such as met coke and silicon manganese and ferrosilicon. TMT bars carry CII green product certification, and the company sources green energy through long-term power purchase agreements for solar and wind power spanning 15 to 25 years.
Six facilities make up the manufacturing base: five in Karnataka and one in Hindupur, Andhra Pradesh, all within 450 km of ports including Ennore, New Mangalore and Goa-Mormugao. A 10 MW waste heat recovery power plant is under development at Koppal.
The top 10 customers contributed 27.90% of revenue from operations in FY2026, remaining below 30% across the periods reviewed. Total income rose from ₹3,862.44 crore in FY2024 to ₹4,202.05 crore in FY2026, after dipping to ₹3,569.63 crore in FY2025.
Domestic steel demand grew at a CAGR of 11.6% between FY2021 and FY2026, moderating to 8% growth in FY2026, according to the CRISIL Report cited in the RHP. Finished steel demand is projected to grow at a CAGR of 6.5% to 8.5% between FY2027 and FY2031, reaching 227 to 237 million tonnes by FY2031.
Infrastructure and construction account for nearly 65% of India's steel consumption, supported by rising adoption of RCC structures and pre-engineered steel buildings across residential, industrial and commercial projects.
Restated consolidated figures for the last three fiscal years are set out below.
| Financials (₹ crore) | FY2026 | FY2025 | FY2024 |
|---|---|---|---|
| Total Income | 4,202.05 | 3,569.63 | 3,862.44 |
| EBITDA | 303.64 | 174.06 | 172.19 |
| PAT | 127.41 | 7.71 | 38.91 |
| Total Assets | 3,191.31 | 2,753.06 | 2,395.87 |
| Net Worth | 819.52 | 676.63 | 421.79 |
Total income grew 18% between FY2025 and FY2026, and profit after tax rose sharply, though PAT remains below the ₹38.91 crore recorded in FY2024 after dipping to ₹7.71 crore in FY2025.
Backward Integration
The product chain runs from sponge iron and MS billets through to TMT bars, HR coils and CR coils, with met coke and ferrosilicon produced alongside.
Port Proximity
Karnataka and Andhra Pradesh host all six manufacturing units, each within 450 km of major ports, which keeps transport costs in check.
Long-Term Power Contracts
Solar and wind agreements running 15 to 25 years underpin operations, and CII certification backs the TMT bar range as a green product.
Spread Across Customers
No single customer group dominates; the top 10 accounted for 27.90% of FY2026 revenue from operations, consistent with prior years.
Promoter Continuity
Sandeep Kumar, Sunil Jallan and Krishan Kumar Jalan have run the company since its early years and continue to hold a majority stake.
As at 15 July 2026, personal guarantees from promoters and promoter group members totalled ₹6,285.84 crore, well above the company's own borrowings. A default here could limit the promoters' ability to keep backing the business.
FY2024's profit after tax of ₹38.91 crore dropped to just ₹7.71 crore the following year, then jumped to ₹127.41 crore in FY2026. Swings of that size could resurface.
Iron ore, coal and a steady power supply sit at the centre of manufacturing, so movement in any of these costs feeds straight into margins.
Every facility sits in these two states, so a regional disruption or policy shift would affect the entire manufacturing base.
Construction, infrastructure and industrial activity drive demand for long and flat steel, and that demand softens when those sectors do.
Unsecured loans and other arrangements with promoters and promoter group entities form part of the company's financing; such terms do not always mirror what an unrelated lender would offer.
