Who Can Invest in Upcoming IPO 2026?

As per mandate by SEBI, investors belonging to the following categories can invest in 

upcoming IPOs in India.

Retail Investors

Individuals who can invest up to ₹2 lakh are retail investors. IPO-issuing companies must allot a minimum of 35% of their public issues to retail investors. Retail allotment is done through proportionate or lottery-based mechanisms in case of oversubscription.

Qualified Institutional Investors

Mutual funds, commercial banks, foreign portfolio investors and public institutions are categorised under Qualified Institutional Investors, or QII. Anchor investor lock-in follows a phased lock-in structure (30 days and 90 days) as per SEBI norms.

Anchor Investors

Anchor investors are QIBs who apply for at least ₹10 crore worth of shares in an IPO before the issue opens, subject to a mandatory lock-in period. . Anchor investors may be allotted up to 50% of the QIB portion. Anchor eligibility is based on QIB status.  

Non-Institutional Investors or High Net Worth Individuals

SEBI categorises an investor as High Net Worth investors who opt to invest more than ₹2 lakh in IPO. Non-Institutional Investors (NIIs) are those who invest above ₹2 lakh, with sub-categories as per SEBI rules.
