As quoted in the press release of TFCI (NSE Exchange Filings), on January 22, 2016, the company notified the stock exchanges that they had approved acting as an investor up to 5% of the total corpus of OXYZO CREDIT FUND I. The fund is a New Category II Debt-Focused Alternative Investment Fund registered with SEBI and a Diversified Sectors Category II AIF.
The disclosure was to clarify previous information provided by TFCI as they were required to disclose the information under Regulation 30 of SEBI’s LODR provisions, and as such, the decision represents a defined allocation into an alternative investment structur,e which is regulated by SEBI. Alternative Investment Funds - Category II (AIF - Cat II) invest across sectors through both debt and hybrid instruments. These don't qualify for venture capital (AIF Cat I) or hedge funds (AIF Cat III).
Category II AIF Debt funds generally invest in corporate debt, structured credit, and other fixed-income instruments across many types of industries.
By investing in AIF - Cat II with TFCI, there is a limited extent of the investor's TFCI's selective investment in regulatory vehicles. Furthermore, for AIF Cat II debt funds, the investment made is no greater than a predetermined percentage of AIF Cat II total assets to date.
TFCOI is focused on providing loans/financial support to the tourism, hotel, and infrastructure industries and has also added to its portfolio through investments of its funds, as permitted by applicable law. To support these larger business objectives, TFCOI has begun investing through its participation in alternative investment funds.
TFCOI routinely makes capital allocations and investment disclosures to ensure that shareholders and others who may be interested in TFCOI clearly understand how it spends its money and uses its funds. These disclosures enable the public, specifically investors who own stock in TFCOI, to follow how TFCOI deploys its funds for purposes other than its traditional lending activities.
