As quoted in the press release from KNR Constructions Limited (NSE Exchange Filings), Indus Infra Trust signed share purchase contracts with the corporate entity regarding the complete sale of four road project special purpose vehicles (SPVs). Share purchase contracts were executed and issued to stock exchanges in conformity with item 30 of the SEBI listing regulations on 24 December 2025.
The update also records the total investment made by the company in these SPVs and the aggregate amount receivable through the proposed sale.

The divestment covers four operational road assets developed through separate SPVs. These projects were executed under concession agreements with the National Highways Authority of India and form part of the company’s infrastructure portfolio.
Each SPV has been engaged in toll-based road operations, with individual contributions to consolidated turnover and net worth as reported for the financial year ended 31 March 2025.
According to the disclosure made by the Company, it is expected that the company would receive an amount totaling ₹1,543.19 crores from the transaction, which will include equity and subordinate debt sale consideration as well as anticipated surplus cash that will be transferred up from SPVs in the future.
The final consideration may vary at closing, depending upon certain agreed-upon variable parameters as described in the respective agreements executed by the Company and its affiliates. Closing of the transaction is subject to receiving all required lender and regulatory approvals pursuant to the terms of the concession agreement.
As indicated, it is anticipated that the transaction will close on or before September 30, 2026.

Indus Infra Trust is a publicly listed infrastructure investment trust registered with SEBI under the Infrastructure Investment Trusts Regulations, 2014. The trust's main job is to buy and manage building assets in different areas.
Based on the filing, the deal does not qualify as a linked party transaction. It also says that the buyer is not a promoter or member of a promotion group.
As per market data on 24 December 2025 at 15:30 PM IST, the KNR Constructions share price stood at ₹172.49 on the NSE. The stock recorded a gain of 7.99% during the session.
