Tata Investment Corporation Limited (TICL) is a non-banking financial company promoted by Tata Sons Pvt. Ltd. It is registered with the Reserve Bank of India under the category of Investment Company. Its business centres on investments in listed and unlisted equity shares, debt instruments across industries, and mutual funds. Together with Tata Sons, it is also a promoter of Tata Mutual Fund. TICL is the principal shareholder of Tata Securities Ltd., which distributes mutual funds and other investment-related products.
The company traces its origins to 5 March 1937, when it was incorporated as The Investment Corporation of India Limited. The initial mandate was broad—investments in land, stocks, debentures, underwriting new issues, and taking over management of companies when required. This promotional role shaped its early decades. In 1957, the Oriental Government Security Life Assurance Co. Ltd. was amalgamated into the company, effective 1 July 1957. A few years later, in March 1959, it became one of the early investment companies in India with public shareholding, when its equity shares were listed on the Bombay Stock Exchange.
From 1950 through 1960, TICL’s focus was on promoting long-term investments and supporting ventures by Indian entrepreneurs. It typically held minority stakes in such projects. By the 1960s and 1970s, however, its role shifted more towards operating as an investment company managing a diversified portfolio. This gradual change reflected broader structural shifts in India’s financial markets.
The company played a role in the creation and growth of several businesses in the mid-20th century. It was involved in projects that led to the establishment of Associated Bearing Co. Ltd. (today SKF Bearings India Ltd.), Ceat Tyres Ltd. (now Ceat Ltd.), and National Rayon Corporation, among others. These initiatives often involved partnerships with Indian entrepreneurs and, at times, foreign collaborators. Some of the companies where TICL had an early hand remain listed even today.
In the 1990s, structural milestones followed. In 1992, TICL became one of the first private sector companies to join the OTC Exchange of India Ltd. The same year, it established the Tata Mutual Fund. On 18 September 1995, its name was formally changed to Tata Investment Corporation Limited. Three years later, on 24 June 1998, its shares were listed on the National Stock Exchange.
By 31 March 2024, the company held investments with a book value of over ₹3,750 crore and an approximate market value of ₹29,307 crore, spread across 73 companies in different sectors. Portfolio management has been described as gradual and judicious, shaped by the investment approach followed over decades.
Expansion has also come through mergers and acquisitions. The investment activities of Investa Ltd. and Varuna Investments Ltd. were merged with TICL. In 2004–05, it acquired 49.9 percent of Tata TD Waterhouse Securities Pvt. Ltd. from TD Waterhouse Group; with the balance already held by Tata companies, the entity was renamed Tata Securities Pvt. Ltd. This business distributes mutual funds and financial products.
Ownership structure shifted in 2008. On 13 February that year, Tata Sons acquired 50,00,000 shares from Tata Chemicals Ltd., making TICL a subsidiary. As of now, Tata Sons and other Tata companies collectively hold around 73.38 percent of its paid-up capital.
On 31 August 2012, TICL acquired 95.57 percent of Simto Investment Co. Ltd., turning it into a subsidiary. The company has also carried out corporate actions in line with shareholder returns. In November 2018, the board approved a buyback of up to 4.5 million equity shares at ₹1,000 per share. The buyback was completed in February 2019.
Another key development was the co-promotion of Tata Asset Management Company Pvt. Ltd. in 1994, alongside Tata Sons. Tata Sons holds 68 percent while TICL retains 32 percent. Tata Asset Management is among the earliest fund management companies in India’s private sector, acting as investment manager for Tata Mutual Fund. As of 31 March 2022, it managed assets of approximately ₹89,500 crore in the domestic market, serving over a million clients.
