HB Stockholdings Limited was originally incorporated under the name HB Portfolio Leasing Limited on 30 July 1985, with the primary objective of providing fund-based and non-fund-based financial services. Over time, the company diversified its operations and entered the field of real estate development. Subsequently, on 19 February 1997, the name was changed to its present form, HB Stockholdings Limited.
Pursuant to a Scheme of Arrangement sanctioned by the Delhi High Court through its orders dated 29 October 1996 and 28 November 1996, the company’s operations were restructured. Under this arrangement, the Real Estate Division was demerged and transferred to HB Estate Developers Limited, while the Merchant and Investment Banking Division was transferred to HB Portfolio Limited. Following this restructuring, HB Stockholdings Limited continued its business primarily in the area of investments in securities, including the purchase and sale of shares and other market instruments. The company is registered with the Reserve Bank of India (RBI) as a Non-Banking Financial Company (NBFC).
The company began its operations in August 1995, focusing initially on leasing and investments in securities. At present, its operations are concentrated on investment activities, merchant banking, leasing, and related financial services. The company operates from offices located in New Delhi and Mumbai.
In December 1994, the company entered the capital market with a public issue of 14% unsecured fully convertible debentures valued at ₹65 each. Each debenture carried one optional detachable tradable warrant. The purpose of the issue was to meet capital expenditure for additional infrastructure, repay secured loans, and strengthen long-term financial resources.
HB Stockholdings Limited is registered as a Category-I Merchant Banker with the Securities and Exchange Board of India (SEBI).
