    About HB Stockholdings Ltd

HB Stockholdings Limited was originally incorporated under the name HB Portfolio Leasing Limited on 30 July 1985, with the primary objective of providing fund-based and non-fund-based financial services. Over time, the company diversified its operations and entered the field of real estate development. Subsequently, on 19 February 1997, the name was changed to its present form, HB Stockholdings Limited.

Pursuant to a Scheme of Arrangement sanctioned by the Delhi High Court through its orders dated 29 October 1996 and 28 November 1996, the company’s operations were restructured. Under this arrangement, the Real Estate Division was demerged and transferred to HB Estate Developers Limited, while the Merchant and Investment Banking Division was transferred to HB Portfolio Limited. Following this restructuring, HB Stockholdings Limited continued its business primarily in the area of investments in securities, including the purchase and sale of shares and other market instruments. The company is registered with the Reserve Bank of India (RBI) as a Non-Banking Financial Company (NBFC).

The company began its operations in August 1995, focusing initially on leasing and investments in securities. At present, its operations are concentrated on investment activities, merchant banking, leasing, and related financial services. The company operates from offices located in New Delhi and Mumbai.

In December 1994, the company entered the capital market with a public issue of 14% unsecured fully convertible debentures valued at ₹65 each. Each debenture carried one optional detachable tradable warrant. The purpose of the issue was to meet capital expenditure for additional infrastructure, repay secured loans, and strengthen long-term financial resources.

HB Stockholdings Limited is registered as a Category-I Merchant Banker with the Securities and Exchange Board of India (SEBI). The company was also a member of the Over the Counter Exchange of India (OTCEI), and its membership was subsequently transferred to HB Prima Capital Limited, which was a wholly owned subsidiary at that time.

During the year 2000, despite volatility in the capital markets, the company focused on consolidating and restructuring its investment portfolio, enabling it to maintain stability during fluctuating market conditions. It continued to prioritise prudent investment management with an aim to improve operational performance and recover accumulated losses.

HB Prima Capital Limited ceased to be a subsidiary of HB Stockholdings Limited with effect from 25 June 2013.

Further corporate restructuring took place in 2017. The Hon’ble National Company Law Tribunal (NCLT), Chandigarh, by its order dated 22 December 2017, sanctioned a new Scheme of Arrangement involving HB Stockholdings Limited, HB Portfolio Limited (HBPL), and HB Estate Developers Limited (HBEDL), along with their respective shareholders and creditors. This scheme became effective on 30 January 2018. Through this arrangement, the company reorganised its structure to streamline its business activities and strengthen its financial position.

Following these developments, HB Stockholdings Limited continues to engage primarily in the investment business. It focuses on trading and investing in various securities and market instruments, managing its portfolio with an emphasis on long-term value creation. The company remains registered with the Reserve Bank of India as a Non-Banking Financial Company (NBFC) and operates within the regulatory framework applicable to NBFCs.

In addition to securities investments, the company is involved in offering a range of financial products and services. These include personal loans, commercial vehicle finance, housing loans, infrastructure finance, gold loans, microfinance, money transfer services, insurance products, and education funding. It also provides customized financial solutions tailored to individual and corporate clients.

HB Stockholdings Limited continues to operate as part of the wider HB Group, focusing on financial intermediation, securities investments, and diversified financial services, while maintaining compliance with the relevant regulatory and governance standards.
